Welcome
A note before we begin.
Flowte is a connected business platform designed to help organisations operate more clearly, efficiently, and confidently through one integrated system for ticketing, ecommerce, CRM, marketing, reporting, operations, and payments.
These Terms explain how Flowte’s services may be used, and the responsibilities of both Flowte Technologies Limited (“Flowte”, “we”, “our”) and the customer (“Client”, “you”, “your”).
Our goal is to keep these Terms clear, fair, and practical so both parties can work together with confidence.

Part I
Platform Use & Responsibilities
The foundations of the relationship — how the platform is accessed, who is responsible for what, and how we work together.
The aim is simple: clear responsibilities, predictable commercial terms, and a platform relationship both parties can manage with confidence.
01Agreement
These Terms apply to the use of:
- the Flowte platform
- associated applications and services
- optional payment and ecommerce services
- integrations and related tools provided by Flowte
By using the Services or signing an Order Form, the Client agrees to these Terms.
02Our approach
We believe software should feel safe, reliable, easy to work with, and professionally dependable. We aim to operate in good faith, communicate clearly, and maintain a professional long-term relationship with our clients.
Flowte is designed to reduce operational complexity and help organisations work with greater visibility, consistency, and confidence.
We aim to build long-term client relationships through clarity, responsiveness, stability, and continuous platform improvement.
03Accounts & access
The Client is responsible for:
- maintaining account security
- protecting login credentials
- ensuring authorised use of the platform
- complying with applicable laws and regulations
The Client remains responsible for activity carried out under its account.
04Services
Flowte provides cloud-based software and related operational services which may include:
- ticketing
- ecommerce
- CRM
- marketing tools
- analytics and reporting
- payment integrations
- operational management features
Specific commercial terms, pricing, and service scope are defined in the applicable Order Form.
05Payments & billing
Fees are outlined in the Client’s Order Form.
Unless otherwise agreed:
- invoices are due on receipt
- subscription fees renew during continued active use of the Services
- payment processing services may be provided by Flowte Payments or approved third-party providers
Flowte may update pricing, fees, or service structures from time to time. Where changes materially affect Clients, we will aim to provide reasonable notice.
06Changes to the Services or Terms
Flowte may update the Services or these Terms from time to time to:
- improve functionality
- reflect legal or operational requirements
- enhance security or performance
Updated Terms become effective upon publication on Flowte’s website or notification through the Services. Continued use of the Services constitutes acceptance of the updated Terms.
The latest version will always be available at flowte.com/terms.
07Privacy & data
The Client retains ownership of its data.
Flowte processes and stores data only as reasonably required to provide and support the Services, in accordance with applicable privacy laws and Flowte’s Privacy Policy.
08Service availability & support
Flowte will use commercially reasonable efforts to maintain platform availability, reliability, and support responsiveness.
While no online platform can guarantee uninterrupted or error-free operation, we aim to resolve issues promptly and professionally.
09Limitation of liability
To the maximum extent permitted by law, Flowte shall not be liable for indirect, incidental, consequential, special, or loss-of-profit damages arising from the use of the Services.
Flowte provides the Services using commercially reasonable care and industry-standard practices.
10Suspension & termination
Where reasonably necessary to protect platform integrity, users, legal compliance, or security, Flowte may temporarily restrict or suspend access to portions of the Services.
Where reasonably practicable, Flowte will aim to provide notice before suspension or termination.
11Governing law
These Terms are governed by the laws of Ireland.
Any disputes arising in connection with the Services shall be subject to the jurisdiction of the Irish courts.
12Contact
We aim to resolve issues practically, professionally, and in good faith wherever possible.

13Eligibility
To use the Services, the Client must:
- be legally capable of entering into a binding agreement
- provide accurate and current account information
- ensure authorised users act in accordance with these Terms
If the Client is using the Services on behalf of an organisation, the individual accepting these Terms confirms they have authority to bind that organisation.
14Account ownership & administration
The organisation listed on the applicable Order Form is considered the account owner for the purposes of the Services.
The Client is responsible for:
- maintaining accurate account details
- managing authorised users and permissions
- ensuring account credentials remain secure
Flowte may rely on instructions submitted through authorised accounts and administrators.
15Communication
The Client agrees that Flowte may communicate important operational, billing, product, or legal notices by:
- in-platform notification
- account administrator communication
The Client is responsible for maintaining valid contact information within the platform.
16Acceptable use
The Services must be used lawfully and responsibly.
The Client agrees not to:
- misuse the platform
- interfere with platform security or performance
- use the Services for unlawful, fraudulent, harmful, or abusive activity
- upload or distribute malicious software or harmful content
- infringe the intellectual property or rights of others
Flowte may investigate suspected misuse where reasonably necessary to protect the platform, its users, or legal compliance obligations.
17Client content & data
The Client retains ownership of its content, materials, and data submitted to the Services.
By using the Services, the Client grants Flowte the limited rights reasonably required to host, process, transmit, display, and support such content solely for the purpose of providing the Services.
The Client remains responsible for ensuring it has the necessary rights and permissions relating to submitted content and data.
18Platform improvements & updates
Flowte continuously improves the Services and may:
- release updates
- introduce new functionality
- improve workflows
- modify features
- retire legacy functionality
We aim to ensure updates improve reliability, security, usability, and long-term platform quality.
19Third-party services & integrations
The Services may integrate with third-party providers including:
- payment processors
- communication tools
- analytics platforms
- external applications
Use of third-party services may also be subject to separate third-party terms and policies.
Flowte is not responsible for services, products, or systems operated independently by third parties.
20Intellectual property
Flowte retains ownership of:
- the platform
- software
- infrastructure
- branding
- designs
- workflows
- documentation
- related intellectual property
Except where expressly agreed otherwise, no ownership rights are transferred to the Client.
21Support & service relationship
Flowte aims to provide professional, responsive, and commercially reasonable support throughout the client relationship.
Both parties agree to work together in good faith to resolve operational issues efficiently and constructively.
Part II
Platform Operations, Billing & Commercial Terms
How commercial use of the platform works — billing, payments, availability, liability, and how the relationship can be modified or ended.
The aim is simple: clear responsibilities, predictable commercial terms, and a platform relationship both parties can manage with confidence.
22Fees & billing
Fees for the Services are defined in the applicable Order Form, commercial schedule, pricing agreement, or amendment agreement.
Fees may include:
- subscription fees
- transaction fees
- payment processing fees
- onboarding fees
- professional services
- hardware or equipment fees
- optional service upgrades
Unless otherwise agreed, invoices are due on receipt, fees are non-refundable, and overdue balances may result in suspension of Services.
Flowte may offset outstanding balances against amounts otherwise payable to the Client where permitted under the commercial relationship.
23Payment processing services
Where the Client uses Flowte Payments or related payment services:
- payment processing may be provided directly by Flowte or approved third-party providers
- settlement timing may vary depending on banking, fraud, compliance, or operational review requirements
- the Client agrees to comply with applicable payment network and financial regulations
Where reasonably necessary for fraud risk, legal compliance, suspicious activity review, or customer and platform protection, Flowte may suspend, delay, or restrict payment activity.
24Chargebacks, refunds & payment disputes
The Client remains responsible for customer disputes, refunds, chargebacks, fraudulent transactions, reversal fees, and payment network penalties arising from the Client’s activity.
Flowte may recover such amounts from future settlements or outstanding balances where applicable.
25Platform availability
Flowte aims to maintain reliable and commercially reasonable platform availability.
However, the Services may occasionally be affected by:
- maintenance
- upgrades
- internet outages
- third-party provider failures
- security incidents
- events outside Flowte’s reasonable control
Flowte does not guarantee uninterrupted or error-free operation of the Services.
26Service modifications
Flowte may improve, modify, replace, or discontinue features, functionality, integrations, or components of the Services from time to time.
We aim to ensure changes support platform stability, security, long-term maintainability, and product quality.
27Third-party providers
The Services may integrate with independent third-party providers including payment processors, communication platforms, analytics services, hosting providers, and external applications.
Use of third-party services may be subject to separate provider terms.
Flowte is not responsible for systems or services operated independently by third parties.
28Intellectual property rights
Flowte retains ownership of all rights relating to the Services, platform architecture, source code, branding, interfaces, workflows, documentation, and software improvements.
The Client retains ownership of its own data, content, and materials.
No ownership rights are transferred except where expressly agreed in writing.
29Confidentiality
Both parties agree to maintain the confidentiality of non-public business, operational, technical, and commercial information shared during the relationship.
Confidential information may be disclosed where required by law, reasonably necessary to provide the Services, or authorised by the other party.
30Suspension & enforcement
Flowte may suspend or restrict access to the Services where reasonably necessary to:
- protect the platform
- address fraud or security concerns
- prevent unlawful activity
- enforce these Terms
- comply with legal or regulatory obligations
Where reasonably practicable, Flowte will aim to provide notice before taking action.
31Limitation of liability
To the maximum extent permitted by law:
- the Services are provided on an “as available” basis
- Flowte excludes implied warranties except where legally prohibited
- Flowte shall not be liable for indirect, incidental, consequential, special, or loss-of-profit damages
Flowte’s aggregate liability arising from the Services shall not exceed the fees paid by the Client during the twelve months preceding the relevant claim.
32Indemnity
The Client agrees to indemnify Flowte against third-party claims arising from:
- unlawful use of the Services
- breach of these Terms
- infringement of third-party rights
- fraudulent or misleading activity by the Client
33Termination
Either party may terminate the Services in accordance with the applicable commercial agreement or Order Form.
Upon termination:
- access to the Services may cease
- outstanding fees become immediately payable
- certain operational or legal obligations may survive termination
34Governing law
These Terms are governed by the laws of Ireland.
The Irish courts shall have exclusive jurisdiction regarding disputes arising from the Services.
Part III
Commercial Terms & Service Schedule
How specific commercial agreements interact with these Terms — pricing, renewals, minimums, and what happens on early termination.
The aim is simple: clear responsibilities, predictable commercial terms, and a platform relationship both parties can manage with confidence.
35Commercial agreement
Commercial terms are defined in the applicable Order Form, pricing schedule, proposal, or amendment agreement, including:
- pricing
- billing structure
- processing fees
- contract duration
- renewal arrangements
- onboarding scope
- implementation services
- usage commitments
36Renewals
Where applicable, Services may renew automatically during continued active commercial use unless either party provides notice in accordance with the relevant agreement.
Renewal periods and notice requirements are defined in the applicable Order Form or commercial schedule.
37Usage volumes & minimum commitments
Where minimum usage commitments apply, these are outlined in the Client’s commercial agreement.
If actual usage falls materially below agreed minimum commitments, Flowte may invoice the difference between actual usage and agreed minimum contracted usage in accordance with the agreed pricing structure.
38Early termination
If Services are terminated before completion of the agreed commercial term, outstanding fees, committed minimums, unpaid onboarding costs, and agreed contractual obligations may become immediately payable.
Where pricing or payment processing arrangements are based on projected transaction volumes, minimum commitments, or anticipated processing value, Flowte may recover fees reasonably associated with the remaining contracted period based on:
- agreed minimum volumes
- historic transaction activity
- average transaction values
- applicable processing rates
- other commercially agreed usage metrics
Any such recovery shall reflect the remaining contractual commitment and the commercial structure agreed between the parties.
